This Software as a Service (SaaS) Licensing Agreement ("Agreement") is entered into between [Company Name] ("Provider") and the undersigned user or entity ("Customer"). By accessing or using the SaaS services provided by the Provider, the Customer agrees to be bound by the terms and conditions set forth in the Agreement.
Provider grants the Customer a non-exclusive, non-transferable, limited license to access and use the SaaS services ("Services") subject to the terms of the Agreement.
The Services are provided for the Customer's internal use only. The Customer shall not sublicense, resell, rent, lease,
distribute, or otherwise commercially exploit the Services.
The Customer agrees to use the Services in accordance with all applicable laws and regulations and shall not use the Services
for any unlawful purpose.
The Customer may be required to register for an account to access the Services. The Customer is responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.
The Customer agrees to pay all fees associated with the use of the Services as set forth in the applicable order form or
pricing schedule.
All fees are non-refundable unless otherwise stated. Provider reserves the right to change the fees or applicable charges
and to institute new charges and fees at the end of the initial term or then-current renewal term, upon thirty (30) days
prior notice to the Customer.
This Agreement shall commence on the date the Customer first accesses the Services and shall continue until terminated by
either party as provided herein.
Either party may terminate this Agreement with or without cause upon thirty (30) days written notice to the other party.
Provider may suspend or terminate the Customer's access to the Services immediately and without notice if the Customer
breaches any term of this Agreement.
The Provider retains all right, title, and interest in and to the Services, including all related intellectual property
rights. No rights are granted to the Customer other than as expressly set forth in this Agreement.
The Customer may provide suggestions, enhancement requests, or other feedback regarding the Services. Provider shall have
the right to use such feedback without any obligation to the Customer.
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the term of this Agreement.
Confidential information shall not include information that is or becomes publicly available through no fault of the receiving
party or was known to the receiving party prior to disclosure.
The Services are provided "as is" without warranty of any kind, either express or implied, including but not limited to the
implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Provider does not warrant that the Services will be uninterrupted or error-free, or that all defects will be corrected.
In no event shall Provider be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the Customer's access to or use of the Services.
The Customer agrees to indemnify and hold harmless the Provider, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with the Customer's use of the Services or breach of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located, without regard to its conflict of law principles.
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or
representations, written or oral, concerning its subject matter.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force
and effect.
Neither party may assign this Agreement without the prior written consent of the other party, except in connection with a
merger, acquisition, or sale of all or substantially all of its assets.
